Travel Disclosures

The Details Behind Your Booking

UDE Hospitality provides professional travel-planning and hospitality services while working with independent travel suppliers around the world. These disclosures explain UDE’s role and the responsibilities that accompany a travel reservation.

Effective Date: August 15, 2026

UDE Hospitality is a brand operated by Upside Down Expeditions LLC.

1. Seller of Travel Registration

Upside Down Expeditions LLC is registered as a Seller of Travel in the State of Washington.

Washington Seller of Travel Registration No. 605593896

Registration as a Seller of Travel does not constitute approval or endorsement by the State of Washington and does not mean the State has verified the qualifications, reliability, or financial condition of Upside Down Expeditions LLC.

2. Services We Arrange

Depending on the request, UDE Hospitality may assist with:

  • Airline reservations;

  • Hotels and resorts;

  • Vacation homes and villas;

  • Cruises;

  • Rental vehicles and ground transportation;

  • Excursions and activities;

  • Travel-protection products;

  • Vacation packages;

  • Group travel; and

  • UDE-hosted shared experiences.

Available services vary by destination, supplier, and reservation.

3. UDE’s Role

For travel services provided by independent suppliers, UDE acts as a travel advisor and intermediary between the traveler and the applicable supplier.

UDE does not own, operate, manage, or control independent:

  • Airlines;

  • Cruise lines;

  • Hotels and resorts;

  • Vacation homes;

  • Transportation companies;

  • Tour operators;

  • Excursion providers;

  • Event organizers; or

  • Other travel suppliers.

The supplier is responsible for providing its travel service. Each reservation is also subject to the applicable supplier’s terms, conditions, policies, and restrictions.

For services expressly identified as being provided directly by UDE—including certain planning, coordination, or onsite hospitality services—UDE remains responsible for those services subject to the applicable booking agreement and law.

4. Independent Suppliers

Independent suppliers control their own operations, schedules, staffing, facilities, equipment, and policies.

UDE does not control and cannot guarantee against:

  • Flight delays, schedule changes, or cancellations;

  • Missed connections;

  • Lost, delayed, or damaged baggage;

  • Mechanical failures;

  • Overbookings;

  • Accommodation conditions or amenity interruptions;

  • Cruise or tour itinerary changes;

  • Excursion cancellations;

  • Transportation delays;

  • Supplier bankruptcy or insolvency;

  • Labor disruptions;

  • Weather events;

  • Government action;

  • Public-health restrictions; or

  • Other events outside UDE’s reasonable control.

When a supplier changes or cancels a service, UDE will make reasonable efforts to communicate available alternatives, credits, or refunds under the supplier’s policy and applicable law.

5. Supplier Terms and Cancellation Policies

Travel suppliers maintain their own:

  • Deposit requirements;

  • Payment schedules;

  • Change fees;

  • Cancellation penalties;

  • Refund rules;

  • Baggage policies;

  • Check-in requirements;

  • Occupancy restrictions; and

  • Other booking conditions.

These terms may differ from UDE’s general website Terms & Conditions.

Travelers are responsible for reviewing the conditions presented with their proposal, invoice, confirmation, or supplier reservation. The specific conditions attached to a booked fare, rate, property, package, or service control that portion of the reservation.

6. Pricing and Availability

Prices and availability may change until the supplier confirms the reservation.

A quote does not guarantee availability or pricing. A reservation is confirmed only after:

  1. Required payment has been successfully processed;

  2. The supplier has accepted the reservation; and

  3. UDE has provided written confirmation.

Airfare is not guaranteed until ticketed.

UDE is not responsible for supplier price increases, inventory changes, currency fluctuations, or modifications occurring before confirmation. If a supplier changes the price after confirmation, the traveler’s available options will be determined by the supplier’s terms and applicable law.

7. Traveler Information

Travelers must provide accurate legal names, dates of birth, and other information required by the supplier.

Names submitted for airline tickets, cruises, and international reservations should match the traveler’s government-issued identification or passport exactly.

The traveler is responsible for reviewing confirmations promptly and notifying UDE of any error. Supplier fees may apply to corrections, and some reservations cannot be transferred or renamed.

8. Passports, Visas, and Entry Requirements

Travelers are responsible for obtaining and carrying all documents required for their trip, including:

  • Valid passports;

  • Government-issued identification;

  • Visas;

  • Entry or transit permits;

  • Vaccination or health documentation;

  • Parental or guardian authorization;

  • Cruise or event credentials; and

  • Other destination-specific documentation.

Entry requirements may vary according to citizenship, residency, destination, transit location, and personal circumstances. They may also change after booking.

Travelers should verify current requirements with the appropriate embassy, consulate, government authority, airline, or cruise line.

UDE is not responsible when a traveler is denied boarding, entry, or participation because of missing, expired, inaccurate, or insufficient documentation.

9. Health, Safety, and Accessibility

Travelers are responsible for determining whether a destination, property, transportation service, activity, or itinerary is suitable for their health, mobility, and personal circumstances.

Accessibility and special requests should be disclosed before booking. UDE will communicate reasonable requests to the applicable supplier but cannot guarantee fulfillment by an independent supplier.

Travel advisories and destination conditions should be reviewed through appropriate official sources before departure.

10. Travel Protection

UDE strongly recommends appropriate travel protection because many travel payments become nonrefundable before departure.

Depending on the policy purchased, travel protection may provide benefits for certain:

  • Trip cancellations or interruptions;

  • Medical emergencies;

  • Emergency evacuations;

  • Travel delays;

  • Lost or delayed baggage; and

  • Supplier defaults.

Coverage, exclusions, claim decisions, and benefit amounts are controlled by the insurance provider and policy documents.

Unless appropriately licensed, UDE does not interpret insurance coverage, determine whether a policy is suitable, or guarantee that a claim will be paid. Travelers should direct coverage questions to the licensed insurance provider.

A traveler who declines offered coverage accepts responsibility for losses that might otherwise have been insurable.

11. Hosted Experiences

Certain UDE experiences combine independently supplied accommodations or travel services with hosting, coordination, or onsite hospitality provided by UDE.

The presence of a Villa Guardian, group host, community leader, or collaborator does not transform independent supplier services into services owned or operated by UDE.

Guests remain responsible for:

  • Their personal decisions and conduct;

  • Their belongings;

  • Following host and property instructions;

  • Respecting consent and community standards;

  • Arriving on time;

  • Maintaining required travel documents; and

  • Evaluating their ability to participate safely.

The services included in a hosted experience will be identified in the applicable booking materials.

12. Events and Festivals

Unless expressly stated otherwise, event or festival admission is separate from accommodations and travel services arranged by UDE.

Event organizers and venues control:

  • Dates and operating hours;

  • Artist lineups;

  • Venue policies;

  • Admission procedures;

  • Security requirements;

  • Prohibited items;

  • Weather decisions; and

  • Refunds for event tickets.

A canceled or modified event does not automatically cancel or refund a separately booked accommodation or travel service.

13. Force Majeure

UDE is not responsible for delay, interruption, modification, or inability to perform caused by events reasonably beyond its control, including:

  • Hurricanes, wildfires, floods, or other natural disasters;

  • Severe weather;

  • War, terrorism, or civil unrest;

  • Epidemics, pandemics, or public-health restrictions;

  • Government action;

  • Utility or communications failures;

  • Labor disruptions;

  • Transportation interruptions;

  • Supplier closures or insolvency; or

  • Similar extraordinary circumstances.

Available refunds, credits, substitutions, or rescheduling options will be determined by the applicable booking agreement, supplier policy, amounts recoverable from suppliers, and governing law.

14. Limitation of Responsibility

To the fullest extent permitted by law, UDE is not responsible for the acts, omissions, failures, delays, or negligence of independent suppliers that UDE does not own, operate, or control.

UDE is also not responsible for indirect, incidental, special, or consequential losses arising from independently supplied travel services, except where such a limitation is prohibited by law.

Nothing in these disclosures eliminates any responsibility UDE has for its own services or excludes rights and liabilities that cannot legally be waived or limited.

15. Refunds

Refund eligibility depends on the applicable supplier terms, UDE booking agreement, and governing law.

Supplier-imposed cancellation penalties disclosed with a reservation may be deducted from any available refund.

For transactions covered by Washington’s Seller of Travel Act, applicable refunds will be handled in accordance with Chapter 19.138 RCW.

16. Acceptance

By accepting a proposal or invoice, submitting payment, confirming a reservation, or participating in a UDE-hosted experience, the traveler acknowledges receipt of these disclosures and agrees to the applicable:

  • Booking-specific terms;

  • UDE Hospitality Terms & Conditions;

  • Supplier policies; and

  • Travel-provider agreements.
