Terms & Conditions

Effective Date: August 15, 2026

These Terms & Conditions govern your use of the UDE Hospitality website and your purchase of, booking through, or participation in services offered or arranged by Upside Down Expeditions LLC.

By submitting a reservation, making a payment, accepting a proposal or invoice, or participating in a UDE-hosted experience, you acknowledge that you have read and agree to these Terms & Conditions.

UDE Hospitality is a brand operated by Upside Down Expeditions LLC.

1. About UDE Hospitality

Upside Down Expeditions LLC, doing business as UDE Hospitality (“UDE,” “we,” “us,” or “our”), provides travel-planning services, group accommodations, shared-stay experiences, onsite hospitality support, and related coordination services.

Depending on the booking, UDE may act as:

  • A travel advisor arranging services through independent suppliers;

  • A coordinator or host of a shared accommodation experience; or

  • A provider of specifically identified hospitality services.

Unless expressly stated otherwise, UDE does not own or directly operate the hotels, vacation homes, airlines, cruise lines, rental vehicles, event venues, transportation services, excursions, or other third-party travel products included in a booking. The identity of the applicable travel suppliers and the services being provided will be described in the booking materials whenever reasonably available.

2. Eligibility and Guest Responsibilities

Unless a particular booking states otherwise, guests must be at least 21 years old to reserve or participate in a UDE-hosted experience.

Guests agree to:

  • Provide complete and accurate booking information;

  • Maintain valid government-issued identification and required travel documents;

  • Review all booking confirmations, invoices, and supplier terms;

  • Make required payments by the stated deadlines;

  • Comply with applicable laws, property rules, and host instructions; and

  • Behave respectfully toward other guests, hosts, suppliers, staff, neighbors, and property owners.

The person making a reservation is responsible for communicating these Terms and all booking requirements to every traveler included in the reservation.

3. Reservations and Confirmation

Submitting an inquiry, proposal request, or payment does not guarantee availability unless UDE provides written confirmation.

A reservation is considered confirmed only after:

  1. UDE has accepted the reservation;

  2. Any required deposit or payment has been successfully processed; and

  3. The guest has accepted any booking-specific agreement, invoice, or supplier terms.

Availability and pricing may change before confirmation. Obvious typographical, technical, or pricing errors may be corrected before or after a reservation is submitted. If a material pricing error affects a confirmed reservation, the guest may accept the corrected price or cancel the affected service for a refund of amounts paid directly toward that service.

4. Prices and Payments

The total price, deposit, payment schedule, and inclusions for each reservation will appear in the applicable proposal, invoice, checkout page, or booking agreement.

Payments may be processed by UDE or by an approved third-party payment or financing provider. Those providers may impose separate terms, eligibility requirements, processing fees, or financing obligations.

Unless prohibited by law or stated otherwise:

  • Deposits and service fees may be nonrefundable;

  • Returned payments may be subject to additional fees;

  • Guests remain responsible for all balances due regardless of arrangements made between roommates or other travelers; and

  • Failure to make payment by a stated deadline may result in cancellation.

UDE will not request payment through an unapproved account or method. Guests should contact UDE directly if they receive suspicious payment instructions.

5. Booking-Specific Terms

Each reservation may include additional terms covering matters such as:

  • Deposit requirements;

  • Payment deadlines;

  • Cancellation penalties;

  • Room or bed assignments;

  • Occupancy;

  • Included services;

  • Transportation;

  • Property rules; and

  • Supplier restrictions.

If these general Terms conflict with a written booking-specific agreement, supplier policy, invoice, or disclosed rate condition, the more specific term will control for that reservation, except where prohibited by law.

6. Guest Cancellations

Cancellation policies vary by property, supplier, rate, and experience. The cancellation terms disclosed during booking apply to the reservation.

To cancel, the lead guest must notify UDE in writing. A cancellation is effective when UDE receives the written notice.

Depending on the applicable terms, cancellation may result in:

  • Loss of a deposit;

  • Supplier-imposed penalties;

  • Nonrefundable service or processing fees;

  • Loss of some or all amounts previously paid; or

  • An outstanding balance when the booking agreement requires full payment after a specified date.

No refund is guaranteed unless expressly stated in the applicable booking terms or required by law.

Guests are strongly encouraged to obtain appropriate travel insurance.

7. Changes and Substitutions

Requests to change names, dates, accommodations, room selections, or other reservation details are subject to availability, supplier approval, and any applicable fees.

A guest may not transfer or resell a reservation without UDE’s prior written approval. Substitute travelers must satisfy all eligibility requirements and accept the applicable booking terms.

Changes requested by one traveler must not negatively affect another traveler’s reservation without that traveler’s consent.

8. Supplier Changes and Cancellations

Travel suppliers may change or cancel accommodations, schedules, routes, amenities, activities, or other services for operational, safety, weather, or business reasons.

If a material service becomes unavailable, UDE will make reasonable efforts to:

  • Communicate the change;

  • Identify a comparable alternative when reasonably available; or

  • Facilitate any refund or credit made available under the supplier’s policy and applicable law.

UDE does not guarantee that a replacement will be identical in location, appearance, amenities, or price.

Washington law establishes timing and disclosure requirements for certain seller-of-travel refunds. Applicable refunds will be handled consistent with those requirements and the terms disclosed for the reservation. See Chapter 19.138 RCW.

9. Travel Insurance

Travel insurance is strongly recommended because many travel payments become nonrefundable before departure.

Depending on the policy purchased, coverage may be available for certain:

  • Cancellations or interruptions;

  • Medical emergencies;

  • Travel delays;

  • Lost or delayed baggage;

  • Supplier defaults; or

  • Other covered events.

Insurance benefits, limitations, exclusions, and claim decisions are determined solely by the insurance provider.

Unless appropriately licensed, UDE does not interpret insurance coverage, evaluate the adequacy of a guest’s existing insurance, or guarantee that a claim will be approved. Guests should direct coverage questions to the licensed insurance provider.

Declining insurance means the guest accepts responsibility for losses that would otherwise have been insurable.

10. Shared Accommodations

Some UDE experiences involve shared villas, homes, suites, bedrooms, bathrooms, or common spaces.

By reserving a shared experience, guests acknowledge that:

  • Other travelers may be unknown to them before arrival;

  • Common areas and certain facilities will be shared;

  • Privacy, noise levels, schedules, and personal habits may differ;

  • Room and bed assignments are based on the option purchased;

  • Images may represent the property generally and not a specific assigned room;

  • Property amenities may be temporarily unavailable; and

  • UDE cannot guarantee compatibility between guests.

A shared-room reservation does not grant exclusive use of the entire bedroom or accommodation unless expressly stated.

Personal disagreements, roommate incompatibility, or a decision to leave early do not automatically entitle a guest to a refund.

11. Visitors, Occupancy, and Property Rules

Only registered guests may stay overnight. Visitors are prohibited unless approved by UDE and permitted by the property.

Guests must follow all applicable:

  • Occupancy restrictions;

  • Parking rules;

  • Noise and quiet-hour requirements;

  • Smoking or vaping policies;

  • Pet policies;

  • Pool and hot-tub rules;

  • Security requirements; and

  • Check-in and checkout instructions.

Parties, events, commercial activity, or unauthorized gatherings are prohibited unless specifically approved in writing.

A property owner or manager may impose additional rules. Guests are responsible for reviewing and following those rules.

12. Community Standards and Conduct

UDE experiences are built around:

Connection • Community • Curiosity

Guests must:

  • Respect consent, privacy, and personal boundaries;

  • Refrain from harassment, threats, discrimination, or violence;

  • Avoid illegal or dangerous activity;

  • Consume alcohol responsibly;

  • Respect neighboring properties and local communities;

  • Follow reasonable safety instructions; and

  • Avoid conduct that materially disrupts the experience of others.

UDE may deny entry, restrict participation, contact appropriate authorities, or require a guest to leave when reasonably necessary to protect guests, staff, suppliers, property, or the surrounding community.

A guest removed because of their conduct is not entitled to a refund and is responsible for arranging and paying for alternative lodging and transportation.

13. Transportation and Travel Documents

Unless expressly included in the booking, guests are responsible for arranging transportation to and from the accommodation, airport, venue, shuttle stop, or activity.

Transportation providers operate independently. UDE does not control or guarantee:

  • Flight or vehicle schedules;

  • Traffic conditions;

  • Rideshare availability;

  • Shuttle capacity;

  • Driver conduct;

  • Road closures; or

  • Delays and cancellations caused by third parties.

Guests are responsible for arriving on time and carrying all required identification, passports, visas, tickets, permits, and health documentation.

UDE is not responsible when a guest is denied boarding, entry, or participation because of missing, expired, inaccurate, or insufficient documentation.

14. Events, Festivals, and Admission

Unless expressly included, admission tickets and festival passes are separate from UDE accommodations.

Event organizers and venues control schedules, lineups, admission requirements, bag policies, security procedures, accessibility, reentry, prohibited items, and cancellation decisions.

UDE does not guarantee:

  • A particular performer or lineup;

  • Event operating hours;

  • Admission to a venue;

  • Continued validity of a third-party ticket;

  • Event transportation; or

  • Refunds for canceled or modified events.

Cancellation or modification of an event does not automatically cancel or refund a separate accommodation reservation.

15. Health, Accessibility, and Personal Needs

Guests are responsible for determining whether a property, destination, activity, or experience is appropriate for their health, mobility, dietary, sensory, or accessibility needs.

UDE is not a medical provider and cannot provide medical advice or guarantee allergen-free environments.

Guests should disclose accommodation requests before booking. UDE will communicate reasonable requests to applicable suppliers but cannot guarantee that every request can be fulfilled.

In an emergency, UDE may contact emergency services or an emergency contact provided by the guest. The guest remains responsible for resulting medical, transportation, or related expenses.

16. Assumption of Risk

Travel, shared accommodations, pools, hot tubs, transportation, nightlife, festivals, excursions, alcohol consumption, and group activities involve inherent risks.

These risks may include illness, injury, falls, water-related incidents, transportation accidents, weather events, crime, acts of other participants, and delayed access to emergency assistance.

Guests voluntarily accept the ordinary and inherent risks associated with the services and activities they choose to participate in.

Nothing in these Terms waives rights or liabilities that cannot legally be waived.

17. Property Damage and Additional Charges

Guests are responsible for loss, damage, excessive cleaning, fines, rule violations, missing items, or other charges caused by themselves or their approved or unauthorized visitors.

UDE may provide the guest’s booking information to the property owner, manager, supplier, payment processor, insurer, or appropriate authority when reasonably necessary to investigate or collect a charge.

When permitted by the applicable payment authorization and law, verified charges may be applied to the payment method associated with the reservation. Supporting documentation will be provided upon reasonable request when available.

18. Force Majeure

UDE is not responsible for delay, interruption, modification, or inability to perform caused by circumstances reasonably beyond its control, including:

  • Severe weather or natural disasters;

  • Fire or utility failure;

  • Epidemics, pandemics, or public-health restrictions;

  • War, terrorism, or civil unrest;

  • Government action;

  • Labor disruptions;

  • Transportation interruptions;

  • Venue or supplier closure; or

  • Other extraordinary events.

Available refunds, credits, replacements, or rescheduling options will be determined by applicable law, supplier policies, amounts recoverable from suppliers, and the booking-specific agreement.

19. Limitation of Liability

To the fullest extent permitted by law, UDE is not responsible for the acts, omissions, failures, delays, or negligence of independent suppliers or third parties that UDE does not own, operate, or control.

UDE is not liable for indirect, incidental, special, punitive, or consequential damages, including lost enjoyment, missed events, lost income, or additional travel costs, except where such limitation is prohibited by law.

To the fullest extent permitted by law, UDE’s aggregate liability arising from a particular reservation will not exceed the amount paid directly to UDE for the affected service.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

20. Photography, Video, and Guest Privacy

Photography and video may be captured during UDE-hosted experiences.

UDE will make reasonable efforts to inform guests when organized promotional photography or filming is planned. Guests who do not want their identifiable likeness used for UDE marketing should notify UDE in writing before the experience and remind the onsite host upon arrival.

Guests must respect the privacy and consent of other participants. No guest may photograph, record, publish, or distribute private, intimate, or sensitive content involving another person without that person’s express permission.

Additional media-release terms may apply to specific productions, collaborations, or experiences.

21. Website and Intellectual Property

The UDE website and its original branding, logos, text, graphics, designs, and other materials are owned by or licensed to Upside Down Expeditions LLC.

Content may not be copied, republished, sold, altered, or commercially used without written permission, except as permitted by law.

Third-party names, trademarks, photographs, and materials remain the property of their respective owners.

22. Privacy

UDE collects and uses personal information for booking, communication, payment, safety, legal, and operational purposes.

Information may be shared with travel suppliers, payment processors, insurance providers, host-agency partners, contractors, or authorities when reasonably necessary to provide services or comply with legal obligations.

Additional information is available in the UDE Hospitality Privacy Policy.

23. Communications and Electronic Acceptance

Guests consent to receive booking-related communications electronically, including proposals, invoices, confirmations, schedule changes, property instructions, and safety notices.

Electronic acceptance, checkbox consent, and electronic signatures have the same effect as handwritten acceptance to the extent permitted by law.

Marketing messages may be declined without affecting essential reservation communications.

24. Disputes and Chargebacks

Guests should contact UDE promptly if they believe a charge, service, or reservation detail is incorrect so that UDE has a reasonable opportunity to investigate.

Submitting a payment dispute or chargeback does not automatically cancel a reservation or eliminate amounts legitimately owed under the booking agreement.

Nothing in this section limits a guest’s lawful rights with their card issuer or under applicable consumer-protection law.

25. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

Any legal proceeding arising from these Terms or services provided directly by UDE will be brought in a court of competent jurisdiction in Washington, unless applicable law requires otherwise.

26. Severability and Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

A failure by UDE to enforce a provision on one occasion does not waive the right to enforce it later.

27. Updates to These Terms

UDE may update these Terms periodically.

The version in effect when a reservation is confirmed will generally govern that reservation unless a change is required by law or the guest agrees to updated terms.

Continued website use after revised Terms are posted constitutes acceptance of the revised website-use provisions, but does not retroactively replace confirmed booking terms without notice or agreement.

Good People • Chill Vibes • Shared Travel

Hospitality isn’t about perfection. It’s about creating spaces where connection happens naturally and everyone has room to be themselves.

Because sometimes the best part of the journey isn’t only where you’re going—it’s who you’re sharing it with.
